These Terms of Use (“Terms”) govern your access to and use of the Tradeshow Champ website, platform, and related services (collectively, the “Services”) operated by ChampStack LLC, doing business as Tradeshow Champ (“ChampStack,” “Tradeshow Champ,” “we,” “us,” or “our”).
By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.
You must be at least 18 years old, or the age of legal majority in your jurisdiction, to use the Services. By using the Services, you represent that you have the authority to enter into these Terms.
Tradeshow Champ provides tools, content, workflows, and related features intended to help users plan, organize, and support tradeshows, events, and related marketing activities. Some features may be added, modified, or discontinued at any time.
To access certain features, you may need to create an account. You agree to provide accurate information and to keep your login credentials secure. You are responsible for all activity under your account.

You may submit text, files, images, event details, notes, prompts, and other materials through the Services (“User Content”). You retain ownership of your User Content.
By submitting User Content, you grant ChampStack a non-exclusive, worldwide, royalty-free license to host, store, process, reproduce, and use that User Content solely as needed to operate, maintain, improve, and provide the Services to you.

The Services may generate suggested copy, plans, summaries, recommendations, checklists, or other outputs using automated and AI-assisted tools.
These outputs are provided for informational and productivity purposes only. You are responsible for reviewing, editing, and approving all outputs before relying on them, publishing them, sending them to third parties, or using them for business decisions. We do not guarantee that generated outputs will be accurate, complete, unique, legally compliant, or fit for your specific purpose.
The Services, including the software, design, branding, logos, text, graphics, workflows, and other content provided by us, are owned by or licensed to ChampStack and are protected by intellectual property laws. Except for the limited right to use the Services under these Terms, no rights are granted to you.
If you send us ideas, suggestions, or feedback, you agree that we may use them without restriction or compensation to you.
The Services may link to or integrate with third-party websites, tools, platforms, payment processors, analytics providers, or software, including HubSpot and other CRM or marketing integrations. We are not responsible for the security, privacy practices, or data handling of third-party services, and your use of them is governed by their own terms and policies. We are not liable for any data breach, unauthorized access, or other security incident arising from or related to a third-party service or integration.
Certain features may require payment. If you purchase a paid plan, you agree to pay all applicable fees and taxes and to provide current payment information. Unless otherwise stated, fees are non-refundable.
We may change pricing, plan features, or billing terms prospectively. Continued use of a paid Service after a pricing change takes effect constitutes acceptance of the updated pricing.
We may suspend or terminate your access to the Services at any time, with or without notice, if we believe you violated these Terms, created risk for us or other users, or if required by law. You may stop using the Services at any time.
THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, CHAMPSTACK DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. CHAMPSTACK MAKES NO WARRANTY THAT THE SERVICES WILL BE FREE FROM VULNERABILITIES, UNAUTHORIZED ACCESS, DATA LOSS, OR SECURITY BREACHES. YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CHAMPSTACK AND ITS OFFICERS, MEMBERS, EMPLOYEES, CONTRACTORS, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, INCLUDING ANY SECURITY INCIDENT, DATA BREACH, OR UNAUTHORIZED ACCESS TO YOUR DATA OR ACCOUNT, WHETHER CAUSED BY CHAMPSTACK, A THIRD PARTY, OR OTHERWISE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CHAMPSTACK'S TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE, OR (B) $100.
ChampStack uses reasonable administrative, technical, and organizational security measures to protect the Services and user data. However, no system is completely secure, and we cannot guarantee that the Services will be free from unauthorized access, data breaches, or other security incidents.
In the event of a confirmed security breach that affects your personal information, we will notify you in accordance with applicable law. Notification will be provided via the email address associated with your account or through a prominent notice on our website, as required. You acknowledge that notification timelines may vary depending on the nature of the incident and applicable legal requirements.
ChampStack will not be liable for any damages, losses, or claims arising from a security breach caused by circumstances beyond our reasonable control, including breaches resulting from third-party services, your own failure to maintain secure credentials, or force majeure events.
You agree to defend, indemnify, and hold harmless ChampStack and its affiliates, officers, members, employees, and contractors from and against claims, liabilities, damages, losses, and expenses arising out of your use of the Services, your User Content, or your violation of these Terms.
These Terms are governed by the laws of the State of California, without regard to conflict of law principles.
Any dispute arising out of or relating to these Terms or the Services shall be resolved exclusively in the state or federal courts located in Sacramento County, California, and you consent to that jurisdiction and venue.
We may update these Terms from time to time. When we do, we will post the revised version and update the Effective Date above. Your continued use of the Services after the updated Terms become effective means you accept the revised Terms.
